General Terms and Conditions for Vansis Project Management Software
Article 1: Definitions
• "Software": Vansis, the web-based project tracking tool for CAPEX projects.
• "Client": Any natural or legal person subscribing to Vansis.
• "Package": Refers to the specific subscription package chosen by the Client (Gold, Silver, or
Bronze).
• "Data": Information entered into Vansis by the Client.
Article 2: Applicability
• These Terms apply to all subscription packages of Vansis and all related services.
Article 3: Subscription Packages
• The Subscription is formed when a Client accepts a quote for Vansis and pays the annual fee
upfront.
• Vansis offers three packages: Gold, Silver, and Bronze, each with varying features and support
levels.
Article 4: Features and Support
• Gold Package: Includes Keen Design, overview progress status, online help manual, report
module, and 7/24 chat support.
Article 5: Client's Obligations
• Clients must provide accurate information for the effective use of Vansis.
• Clients are responsible for maintaining the confidentiality of their user accounts.
Article 6: Service Provision
• Vansis is provided as per the terms of the chosen Package.
• We reserve the right to modify or update Vansis features and support levels.
Article 7: Fees and Payment
• Fees are based on the chosen Package and are billed annually in advance, excluding taxes and
duties.
• Vansis reserves the right to increase rates, except during the contract period.
Article 8: Payment Terms
• The Subscription fee is due at the start of the term.
• Non-payment may lead to suspension of service.
Article 9: Service Level and Availability
• We strive for maximum uptime but cannot guarantee uninterrupted service availability.
• Support levels vary based on the chosen Subscription Package.
Article 10: Limitation of Liability
• Our liability is limited to direct damages and shall not exceed the total amount paid for the
subscription in the preceding three months.
• We are not liable for indirect, incidental, or consequential damages, unless due to gross
negligence or intentional misconduct.
Article 11: Termination
• The Subscription can be terminated by either party with notice. The notice period is 12 months.
• Termination does not waive the obligation to pay any fees due.
Article 12: Suspension of Service
• We may suspend service for non-payment or violations of these Terms.
Article 13: Data and Privacy
• We commit to safeguarding Client Data with appropriate security measures.
Article 14: Software Use
• Vansis is licensed under these Terms.
• Clients must comply with all laws and regulations in using Vansis.
Article 15: Governing Law and Jurisdiction
• All disputes arising in connection with this fulfillment of the Agreement or the validity,
interpretation, executive, breach thereof (but not limited to) shall be settled by way of amicable
negotiation between the senior staff of the parties. If the dispute does not arrive at a solution in
good faith within two months, any of the parties will be able to apply for legal procedure with
relation to related dispute. This Agreement shall be governed and construed by Dutch Law and
Dutch courts
